Terms of Service

Last Updated: September 1, 2026

PLEASE READ THESE TERMS CAREFULLY. THESE TERMS CONTAIN A BINDING ACCOUNT LAUNCH MINIMUM-PURCHASE COMMITMENT, AN EARLY TERMINATION BALANCE, AUTOMATIC OFF-SESSION PAYMENT AUTHORIZATION, REFUND LIMITATIONS, DISCLAIMERS, LIMITATIONS OF LIABILITY, CONTRACTOR COMPLIANCE AND INDEMNIFICATION OBLIGATIONS, AND BINDING INDIVIDUAL ARBITRATION WITH CLASS AND JURY-TRIAL WAIVERS.

These Terms of Service, together with the LeadZik Refund and Lead Credit Policy, any payment authorization accepted by you, and any order form or written commercial agreement that expressly incorporates these Terms (collectively, the "Agreement"), form a legally binding agreement between AuraDox Enterprises LLC, doing business as LeadZik ("LeadZik," "Company," "we," "us," or "our"), and the business, company, contractor, agency, or other entity identified in the account ("Contractor," "Customer," "you," or "your").

These Terms apply only to the LeadZik business-to-business contractor platform, including app.leadzik.com, LeadZik contractor dashboards, LeadZik mobile applications, automatic Lead delivery, Lead purchases, account features, support, and related contractor-facing services.

These Terms do not govern ZikQuote or any separate consumer-facing website, form, landing page, quote request flow, homeowner policy, or consumer service operated by LeadZik, AuraDox Enterprises LLC, or any affiliate or related brand. Homeowners and consumers may be subject to separate consumer-facing terms, privacy notices, disclosures, and consent language.

By affirmatively accepting these Terms during signup or account activation, you electronically sign and agree to the Agreement. Adding a payment method, activating Automatic Lead Delivery, or purchasing Leads also confirms your acceptance of the then-current Agreement. If you do not agree, do not activate or use the Platform.

1. AGREEMENT AND SCOPE

1.1 Binding Agreement. These Terms are a binding legal agreement between you and LeadZik. If you do not agree to these Terms, you may not access or use the platform.

1.2 B2B-Only Platform. LeadZik is intended only for business use by contractors, roofing companies, home-service companies, agencies, authorized representatives, and other commercial users. You may not use LeadZik for personal, household, family, or consumer purposes.

1.3 Entity Authority. If you access or use LeadZik on behalf of a company, contractor, agency, partnership, LLC, corporation, or other entity, you represent and warrant that you have full authority to bind that entity to the Agreement. "You" and "your" refer to that entity. The individual accepting the Agreement is not a personal guarantor of the entity's payment obligations unless that individual separately signs a conspicuous personal guaranty, but remains responsible for the individual's own fraud, unauthorized acts, and violations of law.

1.4 Incorporated Commercial Policies. The LeadZik Refund and Lead Credit Policy and any payment authorization, order form, or written commercial policy that expressly states it is incorporated are part of the Agreement. The LeadZik Privacy Policy and Cookie Policy are notices describing data practices and are not incorporated as contractual promises except to the extent required by applicable law.

1.5 Conflicts and Order of Precedence. If documents in the Agreement conflict, the following order controls only to the extent of the conflict: (a) a separately negotiated written agreement signed by an authorized LeadZik representative; (b) an order form or payment authorization for the transaction it addresses; (c) these Terms; and (d) the Refund and Lead Credit Policy. Emails, support messages, chats, texts, calls, sales statements, invoices, or informal communications do not modify the Agreement unless they expressly identify the provision being amended and are signed by an authorized LeadZik representative.

2. DEFINITIONS

2.1 "Platform" means the LeadZik contractor-facing website, app.leadzik.com, mobile applications, dashboards, automatic Lead-delivery systems, purchase systems, notification systems, billing systems, account systems, support systems, and related services.

2.2 "Lead" means information relating to a homeowner, consumer, property owner, tenant, project requester, business, property, service request, quote request, repair request, inspection request, replacement request, or other potential customer opportunity that LeadZik makes available through the Platform.

2.3 "Lead Data" means any information included in, derived from, associated with, or related to a Lead, including names, phone numbers, email addresses, property addresses, project descriptions, service categories, timing, notes, preferences, estimated values, campaign data, verification data, fraud signals, routing data, attribution data, and metadata.

2.4 "Automatic Lead Delivery" means the Platform process that purchases and delivers an eligible Lead when it matches your saved service areas, Lead preferences, and other delivery settings, subject to the monthly Lead limit you select for the applicable service category.

2.5 "Purchased Lead" means a Lead that you purchase, claim, unlock, receive, or otherwise access through the Platform.

2.6 "Exclusive Lead" means a Lead that LeadZik intends not to knowingly sell to more than one LeadZik contractor account through the same LeadZik purchase flow after the Lead is purchased, subject to the limitations in Section 6.

2.7 "Autopay" means the Platform functionality that allows LeadZik or its payment processor to charge your saved payment method or available account credits for a Qualified Lead delivered through Automatic Lead Delivery.

2.8 "Account Users" means any owners, officers, employees, contractors, sales representatives, virtual assistants, call centers, administrators, agents, or other persons who access or use your account.

2.9 "Consumer" means any homeowner, property owner, tenant, individual, project requester, or potential customer associated with a Lead.

2.10 "Contractor Services" means roofing, inspection, repair, replacement, construction, estimating, contracting, sales, project management, insurance-related discussions, or other home-service work or communications offered by you.

2.11 "Qualified Lead" means a Lead that, at the time of delivery: (a) was submitted as a request for the applicable service category; (b) contains at least one materially usable contact method; (c) identifies a location within your saved service area; and (d) was not previously sold by LeadZik to your account for the same Consumer and substantially the same project. A contact method is materially usable if it appears reasonably capable of reaching the Consumer at delivery; it need not result in an answer or response. Qualification does not guarantee responsiveness, purchasing intent, project value, creditworthiness, conversion, profitability, or legal permissibility of every outreach method.

2.12 "Lead Price" means the current unit price for a Lead category, vertical, market, and state displayed through the Platform's "Open Pricing" or successor pricing view.

2.13 "Completed Lead Purchase" means a Qualified Lead purchase that has been delivered and made available to your account and has not been canceled, fully refunded, fully credited as invalid, or reversed because of a confirmed LeadZik error.

2.14 "Completed Lead Spend" means the aggregate amount actually and finally paid to LeadZik for Completed Lead Purchases, excluding taxes, promotional or goodwill credits, refunded or reversed amounts, chargebacks, and any Early Termination Balance.

2.15 "Account Launch Commitment" means the binding minimum purchase commitment described in Section 9.11, which is satisfied upon reaching one thousand two hundred dollars ($1,200) in Completed Lead Spend.

2.16 "Early Termination Balance" means the positive difference between one thousand two hundred dollars ($1,200) and your Completed Lead Spend before the Account Launch Commitment is satisfied. The Early Termination Balance is zero once Completed Lead Spend reaches $1,200.

2.17 "Active Account" means an account with Automatic Lead Delivery enabled, current delivery settings, and a valid saved payment method.

3. LEADZIK'S ROLE

3.1 Lead Source and Contractor Platform. LeadZik operates a business-to-business contractor platform. LeadZik may generate, collect, verify, classify, score, route, automatically deliver, sell, and support Leads. The current contractor experience does not include a browse-and-buy marketplace, free locked Lead previews, or a manual mode for approving each Lead before purchase.

3.2 Not a Contractor. LeadZik is not a roofing contractor, general contractor, home improvement contractor, subcontractor, public adjuster, insurance adjuster, estimator, broker, agent, employer, joint venturer, partner, franchise, or representative of any Contractor or Consumer.

3.3 No Contractor Services. LeadZik does not perform roofing, repair, replacement, inspection, construction, estimating, insurance, or home-service work. LeadZik does not control your pricing, sales process, estimates, communications, workmanship, contracts, scheduling, warranties, collections, refunds, or services.

3.4 Not a Party to Consumer Transactions. LeadZik is not a party to any agreement, estimate, inspection, appointment, contract, job, service call, repair, replacement, sale, payment, refund, warranty, dispute, or relationship between you and any Consumer.

3.5 No Employment or Agency Relationship. Nothing in these Terms creates an employment, agency, partnership, franchise, joint venture, fiduciary, broker, or representative relationship between you and LeadZik.

4. ELIGIBILITY AND ACCOUNT REGISTRATION

4.1 Eligibility. You may use the Platform only if you are at least eighteen (18) years old, are using the Platform for business purposes, and have the legal authority to enter into these Terms.

4.2 Accurate Information. You must provide accurate, complete, and current account, business, billing, service-area, licensing, and contact information. You must promptly update information if it changes.

4.3 Business Identity. You may not create an account using a false, misleading, deceptive, unauthorized, or incomplete business identity. You may not impersonate another person or company.

4.4 Account Approval. LeadZik may approve, deny, restrict, suspend, or terminate any account at any time, with or without notice, for any reason or no reason, including risk management, payment risk, suspected fraud, abuse, chargebacks, poor Consumer experience, legal concerns, or violation of these Terms.

4.5 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. LeadZik may treat all actions taken through your account as authorized by you.

4.6 Account Users. You are responsible for all Account Users. Any act or omission by an Account User is deemed your act or omission. You are responsible for ensuring that Account Users comply with these Terms and applicable law.

4.7 Unauthorized Access. You must immediately notify LeadZik of any suspected unauthorized access, compromised credentials, or account misuse. LeadZik is not liable for losses arising from unauthorized account access unless directly caused by LeadZik's willful misconduct.

5. AUTOMATIC LEAD DELIVERY TERMS

5.1 Lead Availability. Leads are made available on an "as available" basis. LeadZik does not guarantee Lead volume, timing, category, geographic availability, project value, Consumer demand, or market coverage.

5.2 Delivery Settings and Monthly Limits. You select service areas, Lead preferences, and a monthly Lead limit for each enabled service category. You are responsible for reviewing and maintaining those settings. A monthly limit is a maximum number of automatically delivered Leads for that category during the applicable month; it is not a promise that LeadZik will deliver that number.

5.3 Automatic Purchase and Delivery. When you have an Active Account and a Qualified Lead matches your saved delivery settings, LeadZik may automatically purchase and deliver that Qualified Lead to your account and charge your saved payment method or available credits at the applicable Lead Price. You do not approve each matching Qualified Lead before purchase.

5.4 Delivery and Completion. A Qualified Lead is delivered when LeadZik makes its contact information available in your account, whether or not you open, view, export, contact, or respond to it. It becomes a Completed Lead Purchase as defined in Section 2.13.

5.5 Account Responsibility. You are responsible for the delivery settings and monthly limits selected by you or any Account User and for Lead purchases resulting from those settings.

5.6 Automatic Charges. You are responsible for Qualified Lead purchases made through Automatic Lead Delivery within your saved settings and monthly limits. Failure to review, configure, or monitor those settings does not by itself create a refund right.

5.9 In-Flight Leads. A Qualified Lead that was matched to your Active Account and for which LeadZik initiated delivery or payment authorization before deactivation became effective may be completed and charged after the deactivation request. LeadZik will not initiate a new Lead match after the recorded deactivation time.

5.7 Lead Delivery. LeadZik may deliver Lead Data through the Platform, dashboard, mobile app, email, SMS, push notification, webhook, integration, file, or other method. LeadZik does not guarantee instant delivery, push notification delivery, email delivery, SMS delivery, app performance, or uninterrupted access.

5.8 Lead Verification. LeadZik may use manual review, automated tools, third-party vendors, data providers, fraud tools, phone validation, email validation, duplicate detection, or AI-assisted systems to help review or verify Leads. Verification does not guarantee accuracy, quality, intent, responsiveness, or validity.

6. EXCLUSIVITY AND LEAD QUALITY

6.1 "Exclusive" Meaning. Unless otherwise expressly stated in writing, "exclusive" means that LeadZik will not knowingly sell the same Consumer contact information for substantially the same project to more than one LeadZik contractor account through the LeadZik Platform. Exclusivity is limited to LeadZik's own contractor distribution and begins when the Lead is allocated for delivery to your account.

6.2 Limits of Exclusivity. Exclusivity does not mean that:

  1. the Consumer has not contacted other contractors;
  2. the Consumer will not contact other contractors;
  3. the Consumer did not submit information on other websites, platforms, forms, directories, ads, or marketplaces;
  4. other contractors do not already know the Consumer;
  5. the Lead is unavailable from public records, referrals, databases, third-party providers, ads, or independent marketing;
  6. no duplicate, fraud, routing, technical, vendor, network, or system issue will occur;
  7. the Consumer will work only with you;
  8. the Consumer will respond to you;
  9. the Consumer is ready to hire, qualified, or serious;
  10. the Consumer has not independently submitted, or will not independently submit, information to another business, website, advertiser, marketplace, referral source, or contractor outside LeadZik;
  11. an affiliate, advertising source, publisher, or independent third party did not possess or independently obtain the Consumer's information outside LeadZik's contractor distribution.

6.3 Exclusivity Remedy. If LeadZik verifies that it sold the same Consumer and substantially the same project to more than one LeadZik contractor account in violation of Section 6.1, the affected purchase is eligible for the remedy stated in the Refund and Lead Credit Policy. This does not apply to contact or competition originating outside LeadZik.

6.4 No Lead Quality Guarantee. LeadZik does not guarantee that any Lead is accurate, complete, current, unique, reachable, responsive, interested, creditworthy, ready to buy, ready to hire, available, profitable, or legally able to proceed, except for the objective Qualified Lead criteria and limited LeadZik exclusivity described in the Agreement.

6.5 No Outcome Guarantee. LeadZik does not guarantee appointments, inspections, estimates, signed contracts, job awards, revenue, collections, profit, close rates, conversion rates, return on ad spend, project value, Consumer responsiveness, or business outcomes.

6.6 Estimates and Categories. Any estimated project value, estimated roof cost, material category, job type, urgency, storm damage indicator, property characteristic, timing, or similar information is an estimate or classification only and may be inaccurate. You must independently verify all information.

6.7 Changed Circumstances. A Consumer may change their mind, hire someone else, stop responding, provide inaccurate information, submit duplicate requests, or decide not to proceed. These circumstances are part of the risk of purchasing Leads and do not create a refund right unless the Refund and Lead Credit Policy expressly provides a remedy.

7. CONTRACTOR USE OF LEAD DATA

7.1 Limited Permitted Use. You may use Lead Data only for your internal business purpose of contacting the specific Consumer regarding the specific project or service opportunity associated with that Lead.

7.2 No Resale or Transfer. You may not sell, resell, broker, share, license, publish, transfer, assign, post, distribute, upload, or otherwise disclose Lead Data to any third party except to your personnel or service providers who need the information to help you pursue that specific Lead and who are bound to protect it.

7.3 No Unrelated Marketing. You may not use Lead Data for unrelated campaigns, future unrelated solicitations, list building, data enrichment, skip tracing, public posting, lead brokering, spam, scraping, AI model training, database creation, or any purpose unrelated to the specific Consumer request.

7.4 No Deceptive Contact. You may not represent or imply that you are LeadZik, ZikQuote, AuraDox, a government agency, an insurance company, or any other person or entity you are not.

7.5 Data Safeguards. You must use reasonable administrative, technical, and physical safeguards to protect Lead Data from unauthorized access, use, disclosure, alteration, or destruction.

7.6 Consumer Requests. You are responsible for honoring any opt-out, Do-Not-Call, STOP, unsubscribe, deletion, correction, access, or other Consumer request to the extent required by law.

7.7 Data Breach. You must promptly notify LeadZik if any Lead Data is subject to unauthorized access, disclosure, misuse, loss, breach, or security incident.

7.8 Survival. Your obligations regarding Lead Data survive termination of your account and these Terms.

8. CONTRACTOR COMPLIANCE OBLIGATIONS

8.1 General Compliance. You are solely responsible for complying with all laws, rules, regulations, licensing requirements, industry standards, carrier rules, platform rules, and professional obligations applicable to your business, communications, advertising, sales, and Contractor Services.

8.2 Telemarketing and Communications Laws. You are solely responsible for compliance with the Telephone Consumer Protection Act, Telemarketing Sales Rule, National Do-Not-Call Registry rules, state Do-Not-Call laws, state mini-TCPA laws, call-recording laws, SMS/texting rules, email marketing laws, CAN-SPAM Act, unfair or deceptive practices laws, privacy laws, and consumer-protection laws.

8.3 LeadZik Consumer Consent Capture. LeadZik obtains and captures consumer consent for Leads distributed through the Platform. Before a Consumer submits a project request, LeadZik presents consumer-facing disclosures and consent language through its forms, landing pages, quote flows, and related consumer experiences. LeadZik records the Consumer's consent to be contacted by participating home-service contractors, including contractors like you, regarding the Consumer's specific project or service request.

8.4 Consent Documentation Requests. For each Purchased Lead, you may request available consent documentation by contacting support@leadzik.com and identifying the Lead. LeadZik will provide consent records, disclosure language, timestamps, and related documentation LeadZik has on file for that Lead, to the extent available and permitted by law. Consent documentation supports your compliance efforts but does not transfer LeadZik's compliance obligations to you or relieve you of your independent legal duties.

8.5 Contractor Outreach Compliance. Notwithstanding Section 8.3, you remain solely responsible for determining whether you have the lawful basis required to call, text, email, use an autodialer, use prerecorded or artificial voice messages, use ringless voicemail, send marketing emails, send SMS messages, or otherwise contact a Lead using your chosen method. You must independently verify compliance with TCPA, TSR, National Do-Not-Call Registry, state Do-Not-Call laws, state mini-TCPA laws, internal suppression lists, opt-out and revocation requests, carrier rules, and all other applicable outreach laws before and during each contact attempt.

8.6 Required Practices. You must:

  1. honor opt-out, STOP, unsubscribe, revocation, and Do-Not-Call requests;
  2. maintain internal suppression lists where required;
  3. avoid calling or texting outside legally permitted hours;
  4. identify your business accurately;
  5. transmit accurate caller ID where required;
  6. avoid false, misleading, harassing, abusive, or high-pressure communications;
  7. keep records of consent and outreach where required;
  8. comply with carrier, 10DLC, SMS, email, and anti-spam requirements.

8.7 No Legal Advice. LeadZik does not provide legal advice. Although LeadZik captures consumer consent and can provide consent documentation upon request, LeadZik does not guarantee that any particular outreach method you choose is lawful in your jurisdiction or for your business. You should consult your own counsel regarding your outreach and compliance obligations.

8.8 LeadZik Supplemental Compliance Tools. In addition to consent capture under Section 8.3, LeadZik may use validation, suppression, scoring, third-party data, carrier, fraud, Do-Not-Call, TCPA, or similar checks to support Lead review, routing, Platform quality, risk management, and recordkeeping. These supplemental tools are best-effort operational safeguards and may be incomplete, delayed, unavailable, inaccurate, or affected by third-party data, system, carrier, vendor, consumer, or human error. LeadZik does not represent, warrant, or guarantee that any Lead has cleared every applicable suppression list, that any compliance signal is complete or correct, or that your intended call, text, email, autodialed message, prerecorded message, artificial voice message, ringless voicemail, or other outreach is lawful.

8.9 Final Outreach Responsibility. You are solely responsible for making the final determination, before each outreach attempt, that your use of Lead Data complies with all applicable federal, state, local, carrier, platform, and industry rules, including TCPA, TSR, National Do-Not-Call Registry, state Do-Not-Call, state mini-TCPA, internal suppression, opt-out, consent revocation, quiet-hour, caller-ID, call-recording, SMS, email, and CAN-SPAM requirements. Lead delivery, Lead purchase, LeadZik's captured consent, consent documentation, consent metadata, verification status, quality score, warning, absence of a warning, or any platform workflow is not legal advice and does not eliminate your obligation to verify Do-Not-Call status, revocation, and all other applicable requirements before contacting a Consumer.

8.10 Licenses and Insurance. You represent and warrant that you and your personnel hold and will maintain all licenses, permits, registrations, bonds, insurance, certifications, and approvals required to advertise, sell, inspect, estimate, perform, or arrange the services you offer.

8.11 Contractor Services. You are solely responsible for all estimates, inspections, contracts, pricing, workmanship, materials, permits, safety, warranties, collections, refunds, financing, insurance-related discussions, supplements, change orders, property damage, injuries, complaints, and disputes arising from your Contractor Services.

8.12 No Endorsement. You may not state or imply that LeadZik endorses, guarantees, certifies, supervises, sponsors, employs, approves, or is responsible for your business or services unless LeadZik expressly authorizes that statement in writing.

9. PRICING, PAYMENT, AUTOMATIC DELIVERY, AND CREDITS

9.1 Pay-Per-Lead; No Subscription Fee. LeadZik is a pay-per-Qualified-Lead service. LeadZik does not charge a subscription, membership, retainer, or recurring monthly Platform fee. You are charged the applicable Lead Price for each Qualified Lead automatically delivered under your saved delivery settings and monthly Lead-count limits. Lead Prices may vary by state, market, category, vertical, service area, Lead type, competition, promotion, or other disclosed factors.

9.2 Pricing Display and Advance Notice. Current Lead Prices are available through the Platform's "Open Pricing" or successor pricing view. The Lead Price displayed for the applicable category, vertical, market, and state when LeadZik initiates a Lead match is the price for that purchase. LeadZik will give at least seven (7) calendar days' advance notice by account email, in-app notice, or both before a price increase becomes effective. Price increases apply prospectively and never change a charge already initiated. Notice is not required for a price decrease. If you reject an increase, you may request deactivation before its effective date; if the Account Launch Commitment is not yet satisfied, the Early Termination Balance remains applicable.

9.3 Payment Authorization. By affirmatively accepting the Agreement, adding a payment method, and activating Automatic Lead Delivery, you electronically authorize LeadZik and its payment processors to securely store a token representing that payment method and initiate variable, unscheduled, merchant-initiated, off-session charges for: (a) each Qualified Lead delivered under your saved settings and monthly Lead-count limits; (b) applicable taxes; (c) an Early Termination Balance that becomes due under Section 9.12; and (d) other amounts already incurred and expressly authorized by the Agreement. A Qualified Lead charge is initiated by matching and delivering the Qualified Lead to your account. The amount of each Lead charge is determined under Section 9.2, and charge frequency depends on the availability of matching Qualified Leads, subject to your monthly Lead-count limits.

9.4 Cardholder Authority and Saved Payment Method. You represent and warrant that you are the cardholder or an authorized user of the payment method, have authority to use it for the Customer's business purchases, and have authority to grant the payment authorization in Section 9.3. LeadZik and its payment processors may store and use a token, billing information, transaction records, and related payment data only for disclosed payment, billing, risk-management, fraud-prevention, and dispute purposes. LeadZik generally does not directly store your full card number.

9.5 Active Account Requires Payment Method. A valid saved payment method is required for an Active Account. If no valid payment method remains on file, Automatic Lead Delivery will be deactivated and no new Leads will be initiated. Replacing an expired, lost, stolen, compromised, or unauthorized payment method does not cancel the Agreement or the Account Launch Commitment.

9.6 Account Balances. LeadZik may offer or require prepaid balances, credit balances, minimum balances, or wallet funding. Available balances may be applied to Lead purchases and other authorized charges.

9.7 Credits. Credits, promotional balances, free Lead credits, refund credits, goodwill credits, coupons, and discounts are not cash, are not bank deposits, do not earn interest, are non-transferable, and are non-refundable except where required by law or expressly agreed by LeadZik in writing.

9.8 Taxes. You are responsible for all taxes, duties, levies, assessments, and government charges associated with your purchases, except taxes based on LeadZik's net income.

9.9 Failed Payments. If an authorized payment fails, is declined, is reversed, or cannot be processed, LeadZik may deactivate Automatic Lead Delivery, restrict or suspend the account, retry an amount already authorized where permitted, require a replacement payment method, or pursue lawful collection of an amount contractually owed. LeadZik will not deliver new Leads while the account lacks a valid chargeable payment method.

9.10 Campaign Launch and Reliance. After activation, LeadZik may allocate personnel, technology, advertising budget, geographic capacity, and lead-generation resources; create, fund, launch, maintain, test, or optimize campaigns associated with your service areas, categories, and monthly limits; and incur costs before Leads are reliably generated or delivered. LeadZik relies on the Account Launch Commitment when undertaking that work. Lead volume and the time needed to satisfy the commitment are not guaranteed.

9.11 Account Launch Commitment. If the Account Launch Commitment and Early Termination Balance described in this version of the Agreement were disclosed before and affirmatively accepted during your signup or activation, activation creates a binding minimum purchase commitment. The commitment is satisfied once Completed Lead Spend reaches one thousand two hundred dollars ($1,200). Completed Lead Purchase count does not satisfy or reduce this minimum. This is not a subscription or monthly fee; it is a one-time account-launch and minimum-purchase commitment.

9.12 Early Termination Before Commitment Is Satisfied. You may request voluntary deactivation before the Account Launch Commitment is satisfied by paying the Early Termination Balance. For example, if you have $600 in Completed Lead Spend, the Early Termination Balance is $600. Upon an authenticated early-termination request, the Early Termination Balance becomes immediately due, and, unless you have already validly revoked authorization for future charges, you authorize LeadZik to make one final charge to the saved payment method for that balance. The parties intend the Early Termination Balance to compensate LeadZik for difficult-to-quantify, unrecovered campaign launch, advertising, allocation, and operational costs and not as a penalty. LeadZik will deactivate the account and process payment-method removal after successful payment. If the final charge is declined or cannot lawfully be processed, the balance remains a contractual amount owed, the account remains suspended from new Lead delivery, and LeadZik may pursue lawful collection.

9.13 Deactivation and Payment-Method Removal. Payment-method removal and account deactivation are handled through LeadZik Support. After the Account Launch Commitment is satisfied, you may request deactivation and removal without an Early Termination Balance. Before it is satisfied, removal requires successful payment of the Early Termination Balance, except that a lost, stolen, expired, compromised, unauthorized, or legally restricted payment method may be removed or replaced immediately; removing it does not extinguish the Account Launch Commitment. After authenticating an eligible request and resolving charges already initiated, LeadZik will stop initiating new Leads and process removal promptly, normally within two (2) business days.

9.14 Revocation of Future Card Authorization. LeadZik will honor a valid revocation of authorization for future card charges promptly after receiving and authenticating it. Revocation deactivates Automatic Lead Delivery and prevents LeadZik from initiating new card charges after it becomes effective. It does not reverse a charge initiated before the revocation became effective, cancel an amount already incurred, or extinguish the independently enforceable Account Launch Commitment or Early Termination Balance. If authorization is revoked before LeadZik processes an Early Termination Balance, LeadZik will not charge the revoked payment method but may pursue lawful collection of the contractual balance.

9.15 Scope and Duration of Authorization. LeadZik will use a saved payment method only for the purposes disclosed in the Agreement and at the point of payment-method submission. The authorization continues while your account is active and through any authorized final transaction, unless earlier revoked. This Section does not authorize an undisclosed subscription, membership, retainer, recurring monthly Platform fee, or charge unrelated to Qualified Lead purchases, taxes, or an expressly disclosed Early Termination Balance.

9.16 Existing Accounts and Material New Obligations. An Early Termination Balance or other materially expanded payment obligation added after your activation applies only if you affirmatively accept the revised obligation. Continued use alone does not retroactively create a new minimum-payment obligation for purchases or activations completed under an earlier version.

10. REFUND AND LEAD CREDIT POLICY

10.1 Final Sale Subject to Defined Remedies. Qualified Lead purchases are final except for a remedy expressly available under this Section or the Refund and Lead Credit Policy, an unauthorized or duplicate billing error, or a remedy required by law.

10.2 Platform Credit and Original-Payment Refund. A "Platform Credit" is a non-cash account credit usable only for future Lead purchases. An "Original-Payment Refund" is money returned to the payment method actually charged. Unless the Refund and Lead Credit Policy expressly provides otherwise, verified Lead-quality remedies and duplicate-billing corrections are issued as Platform Credits. LeadZik will return a charge that LeadZik determines was unauthorized to the original payment method where practicable. LeadZik may also issue an Original-Payment Refund when applicable law requires it or LeadZik expressly approves that remedy.

10.3 Objective Review Grounds. A purchase is eligible for review when timely evidence reasonably indicates that: (a) the Lead contained no materially usable contact method at delivery; (b) LeadZik delivered the same Consumer and substantially the same project to your account more than once because of a LeadZik error; (c) LeadZik sold the Lead to another LeadZik contractor account in violation of Section 6.1; (d) a LeadZik error routed the Lead materially outside your saved service area or service category; or (e) the submission was clearly fake, fraudulent, spam, test data, or materially unrelated to the represented request. An invalid phone number alone does not qualify if a materially usable email or other contact method was provided, and an invalid email alone does not qualify if a materially usable phone number or other contact method was provided.

10.4 Request Deadline. A refund or credit request must be submitted within seven (7) calendar days after purchase through the method required by LeadZik and include sufficient detail and available supporting evidence. LeadZik may extend the deadline for a latent defect that could not reasonably have been discovered within seven days.

10.5 Supporting Evidence. LeadZik may reasonably request call logs, screenshots, lawful recordings, CRM notes, outreach records, email bouncebacks, text responses, carrier messages, support notes, or other information relevant to the claimed defect. LeadZik will not require irrelevant sensitive information.

10.6 Review and Appeal. LeadZik may approve, deny, or partially approve a request based on the Agreement, available evidence, fraud controls, and the objective nature and materiality of the claimed defect. A Customer may request one written human appeal within seven (7) calendar days after a denial by identifying the decision and any material evidence not previously considered. LeadZik's appeal decision is final except where applicable law provides otherwise.

10.7 Non-Refundable Circumstances. A Qualified Lead is not refundable merely because:

  1. the Consumer does not answer;
  2. the Consumer does not respond;
  3. the Consumer does not schedule;
  4. the Consumer does not buy;
  5. the Consumer does not sign a contract;
  6. the Consumer changed their mind;
  7. the Consumer hired someone else;
  8. the Consumer says they are "just shopping";
  9. the Consumer only wanted pricing;
  10. the Consumer is not ready immediately;
  11. the Consumer's project is smaller or larger than expected;
  12. the Consumer's budget is lower than expected;
  13. the Lead is less profitable than expected;
  14. you contacted the Lead late;
  15. your representative mishandled the Lead;
  16. you lack staffing, licensing, insurance, availability, or ability to perform the work;
  17. you accidentally purchased the Lead;
  18. an Account User purchased the Lead;
  19. Autopay purchased the Lead according to your settings;
  20. you forgot to disable Autopay;
  21. you misunderstood pricing;
  22. the Consumer submitted similar requests elsewhere;
  23. another contractor independently contacted the Consumer;
  24. you are unable to close the job;
  25. a Consumer independently contacted, or was contacted by, another contractor outside LeadZik.

10.8 Automated Review. LeadZik may use manual, automated, third-party, and AI-assisted tools to evaluate requests, detect abuse, verify contact signals, identify duplicates, review Lead quality, and communicate preliminary or final decisions, subject to any human appeal right in Section 10.6.

10.9 Correcting Credits. LeadZik may reverse or correct a Platform Credit issued because of demonstrably false, materially incomplete, fraudulent, or duplicate information, or an evident processing error, after giving notice through the account or support channel.

10.10 Limited Exclusive Remedy. The remedy described in this Section is your sole and exclusive contractual remedy for an ordinary Lead-quality, accuracy, routing, duplicate, invalid-contact, exclusivity, timing, Automatic Lead Delivery, or Lead-purchase defect. This limitation does not apply to fraud, willful misconduct, a verified unauthorized charge, a material failure to provide the contracted service, or a right that cannot lawfully be waived.

11. CHARGEBACKS, PAYMENT DISPUTES, AND COLLECTIONS

11.1 Direct Review Before Payment Dispute. Before disputing an authorized charge with a payment provider, you agree, where permitted and reasonably practicable, to contact LeadZik promptly, identify the charge and reason, provide relevant non-sensitive information, and give LeadZik a reasonable opportunity to investigate and resolve the issue. Nothing in the Agreement waives a right that cannot lawfully be waived or prevents a cardholder from promptly reporting a genuinely unauthorized transaction.

11.2 Accurate Dispute Statements and Cooperation. You may not knowingly mischaracterize an authorized Qualified Lead charge, Early Termination Balance, or other valid transaction as fraudulent or unauthorized; submit fabricated evidence; conceal material account activity; or use a payment dispute to retain Lead Data without paying an amount contractually owed. You agree to provide truthful information and reasonably cooperate with an investigation by LeadZik, a payment processor, card network, bank, arbitrator, or court.

11.3 LeadZik's Right to Contest. You authorize LeadZik to contest a chargeback or payment dispute and to disclose to the payment processor, card network, issuing bank, arbitrator, court, collection provider, or professional adviser reasonably necessary account, consent, delivery, pricing, settings, transaction, support, and Lead-access records. LeadZik will limit disclosures to information reasonably relevant to the dispute.

11.4 Effect of Processor Decision. A payment processor or card-network decision allocates the disputed payment through that network but does not finally adjudicate the parties' underlying contractual rights. Subject to nonwaivable law, either party may pursue the dispute through Section 24. You remain responsible for amounts ultimately agreed or determined by an arbitrator or court to be owed.

11.5 Suspension and Recovery. During a good-faith payment investigation, LeadZik may deactivate future Lead delivery and preserve relevant records. LeadZik may recover only amounts ultimately agreed or determined to be owed, actual processor or collection costs recoverable under applicable law, and reasonable attorneys' fees or legal costs expressly awarded or otherwise recoverable under the Agreement. LeadZik will not impose an undefined administrative fee merely because a good-faith dispute was filed.

11.6 Offset Rights. To the extent permitted by law, LeadZik may offset a final, undisputed, agreed, or adjudicated amount owed against credits, balances, refunds, promotional amounts, or other amounts associated with your account.

12. PLATFORM AVAILABILITY AND MODIFICATIONS

12.1 No Availability Guarantee. LeadZik does not guarantee uninterrupted access, error-free operation, uptime, mobile app availability, dashboard availability, notification delivery, SMS delivery, email delivery, push notification delivery, data availability, or compatibility with any device, browser, operating system, CRM, integration, or payment method.

12.2 Modifications. Subject to the price-notice requirements in Section 9.2 and the material-change requirements in Section 26, LeadZik may modify, suspend, discontinue, update, limit, replace, remove, or change parts of the Platform, including Lead categories, service areas, routing rules, notification systems, mobile app features, Autopay features, dashboards, analytics, verification methods, refund processes, and account settings.

12.3 Third-Party Services. LeadZik may rely on third-party services for hosting, payments, analytics, fraud detection, email, SMS, push notifications, data verification, AI-assisted workflows, maps, support, and other functions. LeadZik is not responsible for third-party downtime, errors, data, decisions, delays, fees, security incidents, or conduct.

13. COMMUNICATIONS AND NOTIFICATIONS

13.1 Platform Communications. LeadZik may send transactional, account, billing, support, security, Lead preview, Lead purchase, refund, Autopay, service, and marketing communications by email, phone, SMS, push notification, dashboard message, in-app message, or other method.

13.2 Contact Information. You are responsible for maintaining accurate contact information and notification settings.

13.3 Missed Communications. LeadZik is not liable for missed Leads, missed previews, missed purchases, missed refunds, missed notices, payment failures, account actions, or other consequences caused by disabled notifications, device settings, app permissions, email filtering, carrier filtering, inaccurate contact information, user error, or third-party delivery issues.

13.4 Consent to Communications. By providing phone numbers or email addresses, you authorize LeadZik to contact you for account, service, billing, support, security, and marketing purposes where permitted by law.

14. AI-ASSISTED AND AUTOMATED SYSTEMS

14.1 Use of Automated Systems. LeadZik may use automated tools, algorithms, machine learning, AI-assisted systems, third-party tools, and human-reviewed workflows for Lead routing, Lead scoring, fraud detection, duplicate detection, refund review, support, account monitoring, abuse prevention, billing risk, quality assurance, analytics, and platform administration.

14.2 No Warranty. AI-assisted or automated outputs may be incomplete, inaccurate, delayed, or incorrect. LeadZik does not warrant the accuracy, reliability, completeness, or suitability of any AI-assisted or automated output.

14.3 Operational Decisions. LeadZik may use automated systems to assist, recommend, prioritize, flag, summarize, classify, approve, deny, or support operational decisions. LeadZik may review, revise, override, or rely on such outputs in its discretion, subject to applicable law.

15. PROHIBITED CONDUCT

15.1 Prohibited Uses. You may not:

  1. violate any law, regulation, third-party right, or LeadZik policy;
  2. use the Platform for unlawful, deceptive, abusive, harassing, discriminatory, or fraudulent purposes;
  3. scrape, crawl, index, copy, harvest, mine, export, or bulk-download Platform data or Lead Data;
  4. reverse engineer, decompile, disassemble, probe, scan, penetration test, interfere with, overload, or bypass Platform security or access controls;
  5. use bots, scripts, automation, fake accounts, duplicate accounts, misleading identities, virtual identities, or unauthorized integrations;
  6. resell, broker, share, or misuse Leads;
  7. use Lead or Platform information to bypass or avoid payment;
  8. submit false refund requests;
  9. manipulate Lead quality review;
  10. upload malware, spyware, harmful code, or unlawful content;
  11. interfere with other Contractors, Consumers, vendors, or Platform users;
  12. make false claims about LeadZik, Consumers, Leads, competitors, or your business;
  13. use the Platform in a manner that creates legal, regulatory, security, payment, reputational, or operational risk for LeadZik.

15.2 Enforcement. LeadZik may investigate suspected violations and may suspend, restrict, or terminate accounts, revoke credits, deny refunds, preserve records, report conduct to authorities, or take other action.

16. INTELLECTUAL PROPERTY

16.1 Ownership. LeadZik, AuraDox, the Platform, software, code, dashboards, designs, logos, names, trademarks, service marks, graphics, text, layouts, databases, algorithms, routing systems, verification systems, workflows, documentation, analytics, reports, and related materials are owned by LeadZik or its licensors.

16.2 Limited License. Subject to these Terms, LeadZik grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for your internal business purposes.

16.3 Restrictions. You may not copy, modify, reproduce, distribute, sell, rent, lease, sublicense, publicly display, publicly perform, create derivative works from, or exploit any LeadZik intellectual property without written permission.

16.4 Feedback. If you provide suggestions, ideas, improvements, requests, or feedback, LeadZik may use them without restriction, attribution, or compensation.

17. CUSTOMER CONTENT AND DATA RIGHTS

17.1 Customer Content. You may submit business information, service areas, logos, text, preferences, support messages, refund requests, notes, ratings, reviews, call notes, or other content ("Customer Content").

17.2 Rights to Customer Content. You represent and warrant that you have all rights necessary to submit Customer Content and that Customer Content does not violate law or third-party rights.

17.3 License to LeadZik. You grant LeadZik a worldwide, royalty-free, sublicensable, transferable license to host, store, copy, process, display, transmit, use, analyze, modify, and create derivative works from Customer Content as needed to operate, improve, secure, market, support, enforce, and administer the Platform.

17.4 Platform Data. LeadZik may collect, generate, process, store, analyze, use, disclose, and retain account data, Lead Data, transaction data, device data, usage data, communications, support tickets, refund requests, fraud signals, verification signals, performance data, and related records for Platform operations, Lead distribution, payments, fraud prevention, quality assurance, analytics, support, legal compliance, enforcement, risk management, AI-assisted workflows, and service improvement.

17.5 Aggregated Data. LeadZik may use aggregated, anonymized, de-identified, or statistical data for any lawful business purpose.

17.6 Connected CRM Authorization. If you connect, enable, or direct LeadZik to use a customer relationship management system, field-service platform, workflow service, webhook, or similar business system (a "Connected CRM"), you represent and warrant that you are authorized to grant the requested access for that account. You instruct and authorize LeadZik to deliver Purchased Leads to the Connected CRM and to retrieve, receive, and process outcome information associated with the specific records created from those Purchased Leads.

17.7 Outcome Access. Connected CRM outcome processing may occur through authorized API calls, OAuth permissions, customer-supplied API credentials, scheduled polling, provider webhooks, or signed workflow callbacks. Unless a different interval is disclosed, LeadZik may check non-final LeadZik-originated records approximately once per week and may process an earlier update when the Connected CRM or your workflow sends one.

17.8 Limited Scope. LeadZik's Connected CRM outcome feature is designed to access records linked to LeadZik Purchased Leads and may process remote record identifiers, lead/request/booking status, pipeline or job stage, appointment, estimate, quote, job, conversion, completion and payment status or dates, and reported opportunity or job value. You do not authorize LeadZik to use the connection to copy unrelated customer lists, unrelated leads, messages, documents, payment-card data, or other records that are not reasonably needed to deliver or evaluate LeadZik-originated Leads.

17.9 Permissions and Disconnection. You are responsible for granting and maintaining the permissions identified in the applicable setup instructions and for complying with the Connected CRM provider's terms. You may stop future access by disabling the integration in LeadZik and, where applicable, revoking the app, token, API key, grant, or workflow in the Connected CRM. Disconnection does not require LeadZik to delete outcome records that it may lawfully retain under the Privacy Policy.

17.10 Third-Party Limits. Connected CRM information depends on customer configuration, provider availability, permissions, data entry, workflow behavior, and third-party APIs. LeadZik does not guarantee that a Connected CRM will expose every outcome, that a user will update a record accurately or promptly, or that every integration will remain available.

17.11 Advertising Measurement and Optimization. LeadZik may connect outcome information for a LeadZik-originated Lead with the attribution information associated with that Lead and report a limited conversion event to the advertising or attribution platform that originated or measured the Lead. A reported event may identify a normalized milestone such as appointment, estimate, won job, completion, invoice, or payment and may include the event time, reported value, currency, transaction or event identifier, advertising click identifier, and privacy-protected matching information permitted by the applicable platform and law. LeadZik may use these events to measure campaign quality, reduce low-quality acquisition, optimize bidding and audiences, and improve Lead generation. LeadZik does not authorize an advertising platform to receive unrelated Connected CRM customer lists, unrelated records, messages, documents, payment-card data, or Connected CRM credentials through this feature.

18. PRIVACY

18.1 Privacy Policy. Your use of the Platform is subject to LeadZik's applicable Privacy Policy.

18.2 Contractor Responsibility. After you receive, export, store, copy, contact, or otherwise process Lead Data, you are independently responsible for your own privacy, security, retention, disclosure, and legal compliance obligations.

18.3 Consumer Requests. You are responsible for responding to Consumer privacy, deletion, opt-out, unsubscribe, STOP, and Do-Not-Call requests to the extent they apply to your use of Lead Data.

19. CONFIDENTIALITY

19.1 Confidential Information. Non-public Platform information, Lead Data, pricing logic, routing logic, account information, business methods, dashboards, software, documentation, and communications from LeadZik may be confidential.

19.2 Use Restrictions. You may use confidential information only as needed to use the Platform under these Terms.

19.3 Disclosure Restrictions. You may not disclose confidential information except to your personnel, contractors, or advisors who need to know and are bound by confidentiality obligations.

19.4 Survival. Confidentiality obligations survive termination.

20. TERM, SUSPENSION, AND TERMINATION

20.1 Term. These Terms begin when you first access or use the Platform and continue until terminated.

20.2 Termination by You After Commitment. After the Account Launch Commitment is satisfied, you may terminate by submitting an authenticated request to LeadZik Support. You remain responsible for Qualified Leads matched or charges initiated before deactivation became effective.

20.3 Early Termination by You. Before the Account Launch Commitment is satisfied, you may terminate by submitting an authenticated request and paying the Early Termination Balance under Section 9.12. Revoking payment authorization or ceasing use does not by itself terminate the Agreement or extinguish that contractual balance.

20.4 Suspension or Termination by LeadZik. LeadZik may suspend, restrict, or terminate your account for nonpayment, fraud, abuse, bad-faith chargebacks, legal or regulatory risk, material Consumer complaints, data misuse, security concerns, or material breach of the Agreement. If LeadZik terminates for your material breach before the Account Launch Commitment is satisfied, the Early Termination Balance becomes due. LeadZik may also terminate for legitimate business reasons on reasonable notice where practicable; if LeadZik terminates without your breach before the commitment is satisfied, LeadZik will waive the Early Termination Balance.

20.5 Effectiveness and In-Flight Transactions. Deactivation becomes effective when LeadZik records the authenticated request or, for an early termination, when the Early Termination Balance is successfully paid, except that LeadZik may immediately suspend new Lead delivery while final payment is pending. LeadZik will not initiate a new Lead delivery after the applicable deactivation time. A Qualified Lead already matched, delivered, or authorized before that time remains chargeable.

20.6 Effect of Termination. Upon termination, your right to access the Platform ends. LeadZik may retain, delete, restrict, preserve, or use account data, Lead Data, transaction records, support records, refund records, and related information in accordance with its Privacy Policy, legal obligations, fraud prevention needs, dispute resolution needs, and business record practices.

20.7 Survival. Sections relating to payment obligations, the Account Launch Commitment, Lead Data restrictions, confidentiality, intellectual property, data rights, disclaimers, limitation of liability, indemnification, arbitration, governing law, and dispute resolution survive termination.

21. DISCLAIMERS

21.1 As-Is Basis. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADZIK, THE PLATFORM, LEAD PREVIEWS, LEADS, LEAD DATA, NOTIFICATIONS, ANALYTICS, ESTIMATES, VERIFICATION TOOLS, SUPPORT, AI-ASSISTED OUTPUTS, AND RELATED SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

21.2 No Implied Warranties. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADZIK DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, PERFORMANCE, QUIET ENJOYMENT, COURSE OF DEALING, AND COURSE OF PERFORMANCE.

21.3 No Lead Warranty Beyond Defined Criteria. EXCEPT FOR THE OBJECTIVE QUALIFIED LEAD CRITERIA IN SECTION 2.11, THE LIMITED LEADZIK EXCLUSIVITY IN SECTION 6.1, AND THE EXPRESS REMEDIES IN SECTION 10, LEADZIK DOES NOT WARRANT THAT A LEAD WILL BE ACCURATE, RESPONSIVE, INTERESTED, READY TO BUY, READY TO HIRE, PROFITABLE, OR LEGALLY CONTACTABLE BY YOUR CHOSEN METHOD.

21.4 No Platform Warranty. LEADZIK DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, PROFITABLE, COMPLIANT WITH YOUR SPECIFIC LEGAL OBLIGATIONS, OR FREE FROM HARMFUL COMPONENTS.

22. LIMITATION OF LIABILITY

22.1 Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADZIK, AURADOX ENTERPRISES LLC, AND THEIR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOST GOODWILL; LOST DATA; LOST OPPORTUNITY; REPLACEMENT LEADS; COST OF SUBSTITUTE SERVICES; CONSUMER CLAIMS; PAYMENT PROCESSOR ACTIONS; TELEMARKETING CLAIMS; PRIVACY CLAIMS; OR COMMUNICATIONS CLAIMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

22.2 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADZIK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE PLATFORM, OR ANY LEAD WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO LEADZIK FOR THE SPECIFIC LEAD OR SERVICE GIVING RISE TO THE CLAIM; OR
  2. THE AMOUNT YOU PAID TO LEADZIK IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

22.3 Essential Basis. The limitations in this Section are an essential basis of the bargain between you and LeadZik and apply even if any limited remedy fails of its essential purpose.

22.4 Nonwaivable Matters. Nothing in the Agreement excludes or limits liability to the extent a limitation is prohibited by applicable law, or for a party's fraud, willful misconduct, or gross negligence as finally determined by an arbitrator or court. Each limitation will be enforced to the maximum lawful extent.

23. INDEMNIFICATION

23.1 Indemnity. You agree to defend, indemnify, and hold harmless LeadZik, AuraDox Enterprises LLC, and their owners, officers, directors, employees, contractors, affiliates, agents, service providers, and licensors from and against third-party claims, demands, actions, investigations, losses, liabilities, damages, judgments, penalties, fines, settlements, costs, and expenses, including reasonable attorneys' fees, to the extent arising out of or related to:

  1. your use of the Platform;
  2. your use, misuse, storage, disclosure, or processing of Lead Data;
  3. your communications with Leads or Consumers;
  4. your calls, texts, emails, marketing, advertising, or sales practices;
  5. alleged TCPA, TSR, Do-Not-Call, CAN-SPAM, privacy, consumer-protection, licensing, advertising, or telemarketing violations;
  6. your Contractor Services;
  7. your estimates, contracts, workmanship, warranties, property damage, injuries, or Consumer disputes;
  8. your breach of these Terms;
  9. your Account Users, employees, contractors, representatives, agents, call centers, vendors, or subcontractors;
  10. your payment disputes, chargebacks, fraud, or misuse of credits;
  11. your Customer Content;
  12. your violation of any law or third-party right.

23.2 Allocation. Your indemnity does not apply to the extent a final decision determines that a claim was caused by LeadZik's fraud, willful misconduct, gross negligence, or independent violation of law. If both parties contributed to a claim, responsibility will be allocated according to their respective fault to the extent permitted by law.

23.3 Notice and Defense Control. LeadZik will provide reasonably prompt notice of a covered claim, except that delayed notice reduces your obligations only to the extent the delay materially prejudices the defense. LeadZik may control the defense using reasonably qualified counsel. You agree to cooperate reasonably.

23.4 Settlement. You may not settle a claim in a way that imposes obligations, admissions, liability, or restrictions on LeadZik without LeadZik's prior written consent, not to be unreasonably withheld for a settlement fully funded by you that unconditionally releases LeadZik and contains no admission or ongoing obligation by LeadZik.

24. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER

24.1 Required Informal Notice. Before filing arbitration or litigation, the complaining party must send a written Notice of Dispute describing the party and account, the facts, the legal basis of the claim, the amount at issue, and the requested relief. Notices to LeadZik must be emailed to support@leadzik.com with the subject "Notice of Dispute." LeadZik may send a notice to the account email. Authorized representatives must identify the represented party and provide evidence of authority. The parties will attempt in good faith to resolve the dispute for thirty (30) days after receipt. A limitations period is tolled during that thirty-day period. This requirement does not prevent emergency relief under Section 24.9 or a timely card-network notice.

24.2 Binding Individual Arbitration. Except for the matters expressly excluded below, you and LeadZik agree that every dispute, claim, or controversy arising out of or relating to the Agreement, Platform, Leads, Lead purchases, Account Launch Commitment, Early Termination Balance, payments, refunds, credits, Automatic Lead Delivery, account access, communications, privacy, data, or the relationship between the parties will be resolved by final and binding individual arbitration, not in court.

24.3 Federal Arbitration Act; Delegation. The Federal Arbitration Act governs this Section. The arbitrator, and not a court, has exclusive authority to decide any dispute concerning the interpretation, applicability, scope, enforceability, or formation of this arbitration agreement, including any argument that all or part of it is void or voidable, except that a court will decide a dispute concerning the Class and Representative Action Waiver in Section 24.8.

24.4 Administrator and Rules. Arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and Mediation Procedures in effect when the demand is filed. If the AAA determines that its Mass Arbitration Supplementary Rules apply, those supplementary rules will govern administration while each claimant's claim remains individual. If AAA is unavailable or declines to administer the dispute other than because a party failed to pay a required fee, the parties will select a substitute administrator or a court of competent jurisdiction will appoint one under 9 U.S.C. Section 5.

24.5 Arbitrator and Procedure. One neutral arbitrator will hear the dispute. The arbitration will be conducted remotely by video conference, telephone, or written submissions unless the arbitrator determines that an in-person hearing is reasonably necessary. Any in-person hearing will occur in Hartford County, Connecticut, unless the parties agree otherwise. The arbitrator may award any individual remedy available under applicable law and the Agreement, but may not award relief for or against a person who is not a party to the arbitration.

24.6 Fees and Attorneys' Fees. AAA filing, administration, and arbitrator fees will be allocated under the applicable AAA Commercial Arbitration Rules. Each party will bear its own attorneys' fees and costs unless a statute, the Agreement, or the arbitrator's award expressly permits shifting them. The arbitrator may reallocate fees or costs for bad-faith conduct to the extent permitted by law and AAA rules.

24.7 Award and Judgment. The arbitrator will issue a reasoned written award stating the essential findings and conclusions. The award is final and binding, subject only to review permitted by the Federal Arbitration Act. Judgment on the award may be entered in any court with jurisdiction.

24.8 Class and Representative Action Waiver. Claims may be asserted only on an individual basis. You and LeadZik waive the right to have a dispute brought, heard, administered, resolved, or arbitrated as a class, collective, consolidated, coordinated, private-attorney-general, or representative action, except that individual demands may be administratively managed under applicable AAA mass-arbitration rules without combining the merits of separate claimants' cases. The arbitrator may not consolidate different persons' claims without the written consent of all parties to those claims.

24.9 Limited Court Exceptions. Either party may bring an individual action in a court of competent jurisdiction that qualifies as small claims court and remains there on an individual basis. Either party may seek temporary emergency injunctive relief in court solely to prevent imminent misuse of intellectual property, confidential information, Lead Data, account credentials, or Platform security while arbitration is pending. Seeking that relief does not waive arbitration of the merits.

24.10 Jury Trial Waiver. For any dispute properly proceeding in court, you and LeadZik knowingly and voluntarily waive trial by jury to the maximum extent permitted by law.

24.11 Confidentiality. The parties will keep nonpublic arbitration filings, evidence, hearings, and awards confidential, except as reasonably necessary to conduct the arbitration, obtain professional advice, comply with law or regulatory obligations, protect a legal right, or enforce or challenge an award.

24.12 Arbitration Severability. If any portion of this Section other than Section 24.8 is unenforceable, it will be severed or narrowed to the minimum extent necessary and the remainder will remain effective. If the waiver in Section 24.8 is finally held unenforceable for a particular claim or requested remedy, that claim or remedy will proceed in court after completion of arbitration of all arbitrable individual claims, unless applicable law requires otherwise.

24.13 Court Venue. A claim properly excluded from arbitration must be brought exclusively in the Connecticut Superior Court for the Judicial District of Hartford or the United States District Court for the District of Connecticut, as subject-matter jurisdiction permits. The parties consent to personal jurisdiction and venue there and waive objections based on inconvenient forum.

25. GOVERNING LAW

25.1 Governing Law. These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules.

25.2 Federal Arbitration Act. The Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement.

26. CHANGES TO TERMS

26.1 Nonmaterial Updates. LeadZik may make prospective nonmaterial, clarifying, administrative, or legally required updates by posting a revised version and updating the "Last Updated" date. Continued use after reasonable notice constitutes acceptance of those nonmaterial updates.

26.2 Material Updates. A change that materially expands payment authorization, creates or increases a minimum commitment or termination charge, materially changes arbitration, or materially reduces an existing refund right will apply prospectively only after reasonable advance notice and your affirmative electronic acceptance. A material change will not retroactively alter a transaction, dispute, or obligation that arose under an earlier version unless both parties expressly agree.

26.3 Rejection. If you reject a prospective material update, LeadZik may discontinue or decline to renew access after satisfying existing obligations. Rejecting an update does not by itself waive an Account Launch Commitment previously accepted or create a right to avoid an existing contractual balance.

27. MISCELLANEOUS

27.1 Entire Agreement. These Terms, together with incorporated policies and any signed written agreement, are the entire agreement between you and LeadZik regarding the Platform.

27.2 Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

27.3 No Waiver. LeadZik's failure to enforce any provision is not a waiver.

27.4 Assignment. You may not assign these Terms without LeadZik's prior written consent. LeadZik may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or by operation of law.

27.5 Force Majeure. LeadZik is not liable for delay or failure caused by events beyond its reasonable control, including outages, third-party failures, labor disputes, natural disasters, war, terrorism, cyberattacks, government actions, payment processor issues, carrier issues, or internet failures.

27.6 Headings. Headings are for convenience only and do not affect interpretation.
